These Terms of Service (“Terms”) govern your access to and use of the Paragon Programming
website at ParagonProgramming.com and any related pages, features, and services (collectively,
the “Site”), operated by Paragon Programming LLC, a Wyoming limited liability company (“Paragon,”
“we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree,
please do not use the Site.
Your use of the Site is also governed by our Privacy Policy, which explains how we collect and
handle your information and is incorporated into these Terms by reference.
1. Who May Use the Site
You must be at least 18 years old and able to form a binding contract to use the Site. If you use the
Site on behalf of a business or gym, you represent that you are authorized to act on its behalf, and
“you” refers to both you individually and that business or gym.
2. Accounts
Certain features (such as the Member Portal) require you to create an account with an email
address and password. You are responsible for keeping your login credentials secure and for all
activity under your account. Notify us promptly of any unauthorized use. Access to the Member
Portal may be suspended or revoked upon cancellation, expiration, or termination of your
subscription or account. We may suspend or terminate accounts that violate these Terms.
3. Subscriptions & Purchases
Paid programming subscriptions are governed by a separate Programming Services Agreement and
the applicable tier terms, which control the subscription relationship, pricing, billing, cancellation, and
related matters. These Terms govern your general use of the Site; where the Programming Services
Agreement applies to your subscription, it controls over these Terms as to that subscription.
4. Individual Program Purchases
Separate from gym subscriptions, Paragon offers individual training programs for one-time purchase by
individual athletes (for example, Forged-In-Fifty). The following terms apply to any such purchase:
- License. Your purchase grants you a limited, personal, non-exclusive, non-transferable license to use the
program for your own individual training. It does not grant any right to use the program to coach, train, or
program for others, whether or not for compensation, and does not grant any right to use it at or on behalf
of a gym, facility, or business. - No Redistribution. You may not share, resell, transfer, publish, post, or otherwise distribute the program
or any part of it, in any format, to any other person. You may print or save copies for your own personal use
only. - All Sales Final. Individual programs are digital products delivered immediately upon purchase. All sales
are final and non-refundable. By completing your purchase, you acknowledge that you will receive immediate
access and that you waive any right of cancellation or refund, except where a refund is required by applicable
law. - What You Receive. You receive the program materials as described on the product page at the time of
purchase. Any additional materials, updates, or supplementary content are provided at Paragon’s discretion
unless expressly promised at the point of sale. - No Subscription Created. A one-time individual program purchase does not create a subscription, does
not recur, and does not entitle you to the gym-subscription programming or Member Portal access governed
by the Programming Services Agreement.
The intellectual-property, automated-access, and AI restrictions in these Terms apply in full to individual
programs.
5. Free Resources
Paragon makes certain materials available at no charge. Permitted use depends on which category a resource
falls into, as identified on the resource itself or on the page where it is offered:
- Freely Shareable Resources. Some materials are expressly marked for free sharing (for example, materials
bearing a notice such as “Not for resale, but share freely”). You may share and redistribute these in their
complete, unmodified form, including the Paragon Programming™ branding, attribution, and footer, for
non-commercial purposes. You may not sell them, charge for access to them, alter or remove branding or
attribution, or present them as your own. - Gated Free Resources. Some free materials are provided in exchange for an email address or similar sign-up
(for example, a programming sample or onramp program). These are provided for your own use and may not
be redistributed. If you know someone who would like a copy, please direct them to the Site to request their own. - Paid Materials. Paid programming — whether gym subscriptions or individual program purchases — is never
freely shareable and is governed by Section 4 above or the Programming Services Agreement, as applicable.
Where a resource carries its own notice regarding sharing, that notice governs that resource. Free resources
are provided “as is,” and Paragon may modify, withdraw, or discontinue any free resource at any time.
6. Acceptable Use
You agree not to:
- Use the Site or its content for any unlawful purpose or in violation of these Terms;
- Copy, reproduce, resell, redistribute, or create derivative works from Paragon’s programming or
Site content, except as expressly permitted in Section 4 (Individual Program Purchases) or Section 5
(Free Resources); - Share, transfer, or provide access to your account or the Programming with or to any other gym,
facility, business, or location, or permit any person outside your own facility, members, and
coaching staff to access it;
- Attempt to gain unauthorized access to the Site, other accounts, or our systems;
- Interfere with or disrupt the Site, introduce malware, or scrape or harvest data without
permission; - Misrepresent your identity or affiliation, or use the Site to infringe the rights of others.
7. Intellectual Property
The Site and its content — including the Paragon Programming™ name, logos, taglines (including
“Passion. Purpose. Precision.™”, “Forged by Passion. Guided by Purpose. Crafted with
Precision.™”, and “Your Rates = Our Rates™”), text, graphics, programming, and design — are
owned by or licensed to Paragon and are protected by intellectual-property laws. Except for the
limited rights expressly granted to subscribers under the Programming Services Agreement, to purchasers
under Section 4, and to users of free resources under Section 5, no license or ownership is transferred to you.
You may not use our marks or content without our prior written permission.
Paragon Programming is not for resale under any circumstances, and is not for redistribution except as expressly permitted in Section 5.
8. Automated Access & AI Restrictions
You may not use any robot, spider, scraper, or other automated means to access, copy, extract, or
index the Site or its content. You may not use the Site or its content — including Paragon’s
programming, text, and materials — to develop, train, fine-tune, or provide data to any machine-
learning or artificial-intelligence model or system, whether or not for commercial purposes. This
restriction is in addition to, and does not limit, the intellectual-property protections elsewhere in these
Terms.
9. Third-Party Links & Services
The Site may reference or link to third-party services (such as payment processors, messaging
platforms, or social media). We are not responsible for the content, policies, or practices of third
parties. Your use of third-party services is governed by their own terms.
10. Disclaimers
The Site and its content are provided “as is” and “as available.” To the fullest extent permitted by
law, Paragon disclaims all warranties, express or implied, including merchantability, fitness for a
particular purpose, and non-infringement. Fitness and functional-training content is general in nature
and is not medical advice; consult a qualified professional before beginning any exercise program.
Any programming is intended to be implemented by qualified fitness professionals who are
responsible for its safe delivery.
11. Limitation of Liability
To the fullest extent permitted by law, Paragon and its owners, members, and agents will not be
liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits or
data, arising from your use of the Site. Paragon’s total aggregate liability arising out of or relating to
the Site will not exceed the greater of (a) the total amounts you paid to Paragon in the three (3)
months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100).
12. Indemnification
You agree to indemnify and hold harmless Paragon and its owners, members, and agents from any
claims, damages, and expenses (including reasonable attorneys’ fees) arising from your use of the
Site, your violation of these Terms, or your infringement of any rights of another.
13. Changes to the Site or Terms
We may modify the Site or these Terms at any time. Material changes will be posted on this page
with an updated “Last Updated” date. Your continued use of the Site after changes take effect
constitutes acceptance of the revised Terms.
14. Electronic Communications
By using the Site or providing us your contact information, you consent to receive communications
from us electronically, including by email and through notices posted on the Site. You agree that all
agreements, notices, disclosures, and other communications we provide electronically satisfy any
legal requirement that they be in writing.
15. Termination
We may suspend or terminate your access to the Site at any time, with or without cause. Provisions
concerning intellectual property, disclaimers, limitation of liability, indemnification, and governing law
survive termination.
16. Force Majeure
Paragon is not liable for any delay or failure to perform resulting from causes beyond its reasonable
control, including internet or hosting failures, service-provider or third-party outages, acts of God,
natural disasters, labor disputes, or governmental actions.
17. Severability & Waiver
If any provision of these Terms is held invalid or unenforceable, that provision will be limited or
eliminated to the minimum extent necessary, and the remaining provisions will remain in full force
and effect. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce
it later, and no waiver of any term is effective unless in writing.
18. Entire Agreement
These Terms, together with our Privacy Policy and any agreements expressly incorporated by
reference (including the Programming Services Agreement where it applies to your subscription),
constitute the entire agreement between you and Paragon regarding your use of the Site and
supersede all prior understandings.
19. Governing Law & Disputes
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws
rules. Any dispute not resolved informally will be brought exclusively in a state or federal court of
competent jurisdiction located in the State of Wyoming, and you consent to their jurisdiction and
venue.
